Clear terms for using Soothe Note.

Accounts, responsible use, AI features, caregiver sharing, and service limitations.

Agreement to These Terms

These Terms of Use form an agreement between you and Teddy Aaron Ventures LLC, a Connecticut limited liability company that operates the Soothe Note product and brand. In these Terms, “Soothe Note,” “we,” and “us” refer to Teddy Aaron Ventures LLC. These Terms apply to the Soothe Note mobile app, website, caregiver-sharing features, AI-assisted tools, Soothe Note Plus, and related services. By accessing or using Soothe Note, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Soothe Note.

Eligibility

You must be at least 13 years old to use Soothe Note. If the law where you live requires a greater age to consent to online services or the processing of personal information, you may use Soothe Note only if that requirement is satisfied.

Free Service, Support, and Soothe Note Plus

The current Soothe Note service remains available as a free version. Voluntary support payments and grants do not purchase app access or additional user rights, and no payment should be treated as tax-deductible unless that is stated expressly at the time of payment. Soothe Note Plus may offer extended features through monthly or annual paid subscriptions. The available features and price will be shown before purchase.

Soothe Note Plus Billing and Cancellation

Soothe Note Plus subscriptions are processed through Stripe and automatically renew monthly or annually until canceled. There is currently no free trial. You may cancel through the available billing portal at any time, and cancellation takes effect at the end of the current paid billing period. Plus access continues through that date. Canceling Plus does not delete your Soothe Note account or cancel data-deletion requests.

Subscription payments are generally non-refundable and are not prorated. You may ask Soothe Note to review a refund request made within seven days of a first subscription payment or accidental renewal, as well as duplicate charges or confirmed billing errors. Refunds remain subject to applicable law, Stripe rules, and Soothe Note’s review. Account deletion does not automatically resolve an outstanding payment dispute.

Accounts and Security

When you create or use an account, you agree to:

  • Protect your device, credentials, recovery information, and caregiver-sharing codes
  • Notify Soothe Note promptly if you believe your account or information has been accessed without permission
  • Accept responsibility for activity conducted through your account unless prohibited by law
  • Not sell, transfer, or give control of your account to another person

You may create more than one account. If you lose access to your email or recovery information, contact team@soothenote.com. We may require reasonable identity verification and may refuse recovery when we cannot safely verify that the account belongs to you.

Acceptable Use

You may not use Soothe Note to:

  • Break the law, violate another person's rights, or facilitate harmful conduct
  • Access another person's account or health information without authorization
  • Share a caregiver code without the patient's authorization
  • Upload malicious code or interfere with the security, availability, or operation of Soothe Note
  • Reverse engineer, scrape, copy, or commercially exploit Soothe Note except where applicable law expressly permits it
  • Misrepresent AI-generated or user-entered information as an official clinical record
  • Use Soothe Note to provide emergency services, diagnose a condition, or replace professional medical judgment

Health Information and Medical Disclaimer

Soothe Note is an organization and communication tool. It does not provide medical advice, diagnosis, treatment, emergency monitoring, or a substitute for a licensed healthcare professional. Information in Soothe Note may be incomplete, delayed, or inaccurate because it depends on user entries, device operation, service availability, and automated processing.

For medical questions, contact a qualified healthcare professional. If you may be experiencing an emergency, contact local emergency services immediately.

AI-Assisted Features

Soothe Note may use artificial intelligence to transcribe recordings and create clinician-summary drafts when you request those features. You may use a summary to support a medical appointment, but AI output can omit details, misunderstand speech, or produce inaccurate information. Review AI output before relying on or sharing it. AI output is not medical advice, a diagnosis, or an official medical record, and you may not present it as professional medical advice or a diagnosis.

AI features may be temporarily unavailable when an AI provider or related service is unavailable. The feature may return after service is restored, but Soothe Note does not guarantee uninterrupted AI availability.

Caregiver Sharing

Caregiver sharing is optional and is not required to use Soothe Note. A patient may connect more than one caregiver, and a caregiver may connect with more than one patient. A patient may provide a caregiver-sharing code to a trusted person and may revoke access through Soothe Note. Caregiver access to shared patient records is read-only and does not include private journal text or saved journal voice recordings. A caregiver may add limited coordination content, including caregiver pings and care-handoff notes, and may be able to screenshot, photograph, export, or otherwise copy information displayed on their device.

Share codes only with people you trust. Once access is granted, Soothe Note cannot control how another person uses information they can see, retrieve or delete copies made outside the service, or guarantee confidentiality outside Soothe Note. We may terminate caregiver access when we reasonably suspect misuse, unauthorized access, or a security risk.

Your Content

You retain ownership of information and content you enter into Soothe Note. You give Soothe Note a limited permission to host, store, transmit, process, reproduce, and display that content only as reasonably necessary to provide, secure, support, and improve the features you choose to use and to comply with law.

Soothe Note Property

Soothe Note and its software, design, branding, text, graphics, interfaces, and other service materials are owned by or licensed to Soothe Note and are protected by intellectual-property laws. These Terms give you a personal, limited, nonexclusive, nontransferable, revocable right to use Soothe Note for its intended purpose. They do not transfer ownership of Soothe Note or its intellectual property to you.

Third-Party Services

Soothe Note relies on third-party services for functions such as cloud infrastructure, authentication, AI processing, website hosting, and app distribution. Third-party services may be governed by their own terms and policies. Soothe Note is not responsible for third-party products or services outside its reasonable control.

Availability, Sync, and Backups

We may update, add, suspend, or discontinue features. We do not guarantee that Soothe Note will always be available, uninterrupted, error-free, or compatible with every device. If cloud synchronization fails or information conflicts between devices, Soothe Note may keep information locally, notify you of the issue, or direct you to contact support. Keep independent copies of important treatment information and do not treat Soothe Note as your only clinical record.

Beta and Preview Features

TestFlight, Android review or testing builds, and other beta, preview, or experimental features may be incomplete, unstable, changed, or discontinued without notice. They may contain errors or result in data loss. Use them only if you accept those risks and keep independent copies of important information.

Suspension and Termination

You may stop using Soothe Note or delete your account at any time. We may immediately restrict, suspend, or terminate access when reasonably necessary to protect users or the service, investigate illegal activity or unauthorized access, comply with law, address security risks, or respond to a material violation of these Terms. Where practical and legally permitted, we will provide notice.

You may appeal a suspension by emailing team@soothenote.com. When safe, technically feasible, and legally permitted, we may provide a terminated user a reasonable opportunity to export available information.

Disclaimer of Warranties

To the fullest extent permitted by law, Soothe Note is provided on an as-is and as-available basis without warranties of any kind, whether express, implied, or statutory. We do not warrant that Soothe Note will be uninterrupted, secure, error-free, medically accurate, or suitable for a particular treatment decision. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

Limitation of Liability

To the fullest extent permitted by law, Soothe Note and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of data, loss of opportunity, or reliance on user-entered or AI-generated information arising from use of or inability to use Soothe Note. To the fullest extent permitted by law, Soothe Note's total liability arising from or relating to the service or these Terms will not exceed the amount you paid Soothe Note during the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, legally actionable personal injury, non-waivable consumer rights, or any other liability that applicable law does not permit Soothe Note to exclude or limit.

Indemnification for Serious Misuse

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Soothe Note and its owners, officers, employees, and contractors from third-party claims, damages, and reasonable costs arising from your intentional or unlawful misuse of Soothe Note, your unauthorized disclosure of another person's information, your infringement of another person's rights, or your material violation of these Terms.

This obligation does not apply to claims caused by Soothe Note's negligence, willful misconduct, security failures, AI errors outside your control, or violation of law.

Apple and Mobile Platforms

For an iOS version obtained through Apple's App Store, Apple's Standard Licensed Application End User License Agreement also applies. These Terms are between you and Soothe Note, not Apple. Soothe Note, not Apple, is responsible for the app, its content, maintenance and support, privacy, product claims, and compliance with applicable law. Apple has no obligation to provide maintenance, support, or medical services for Soothe Note.

Your use of an app store or mobile platform is also subject to that platform's applicable terms. If these Terms conflict with mandatory platform terms or applicable consumer law, those mandatory terms or laws control to the extent of the conflict.

Governing Law and Disputes

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules, except where the mandatory law of your place of residence applies. Before filing a legal claim, you and Soothe Note agree to try in good faith for 30 days to resolve the dispute informally by emailing team@soothenote.com. If the dispute is not resolved, claims may be brought in a court with lawful jurisdiction in Connecticut unless applicable consumer law requires another location. These Terms do not require binding arbitration.

Changes to These Terms

We may update these Terms as Soothe Note changes. The updated Terms will show a new effective date. When reasonably possible, we will provide 30 days' advance notice of material changes through an in-app notice and email. Continued use after updated Terms take effect means you accept them when legally allowed, except where law requires another form of consent.
